Terms of Service

These terms cover your use of Delsity. By creating an account you agree to them. If you are agreeing on behalf of a studio or company, you are confirming you are allowed to.
What the service is
Delsity lets you upload work, review it with people you invite, and publish a delivery page for your client. That is the whole of it. We are not a backup service, and you should keep your own copies of your masters.
Plans and billing
Paid subscriptions and one-off projects follow the prices, billing periods and included resources shown on the pricing page when you make the purchase.
We will tell you before a renewal or plan change affects the price or the availability of stored work. We will not switch off a published delivery your clients hold links to without telling you first.
Your account
Keep your credentials to yourself and tell us promptly if you think someone else has them. You are responsible for what the people you invite to your organisation do inside it.
Your content, and the rights you need to have
Everything you upload stays yours. We claim no ownership of your films or photographs and we will not use them to promote Delsity.
You grant us only the licence we need to run the service: to store your files, process them into the formats needed for streaming and display, and show them to the people you share them with. That licence ends when you delete the material.
You confirm that you have the right to upload what you upload, including the agreement of the people who appear in it. The people in client work did not sign up here, and you are the one who has a relationship with them.
What you may not do
- Upload material you have no right to share.
- Upload material that is unlawful, or that depicts someone in a way they have not agreed to.
- Attempt to break, overload or probe the service or other accounts.
- Resell access to Delsity as though it were your own product.
Your clients
People who open a delivery link do not have an account and are not our users. They interact with your studio through a page you publish. You are responsible for who you send links to and for what those pages contain.
Availability
We try to keep Delsity running. Unless a separate agreement says otherwise, there is no service level agreement, and maintenance may occasionally interrupt access.
Ending it
You can stop using Delsity and delete your account whenever you like. Ask us before you do if you want an export of your material and we will help.
We may suspend an account that is breaking these terms, and where the breach is not serious we will tell you what the problem is and give you a chance to fix it first. We may terminate an account for a serious or repeated breach.
Liability
Delsity is provided as it is. To the extent the law allows, we are not liable for indirect or consequential loss, for lost profits, or for loss of data where you have not kept your own copies. Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
Our total liability to you is limited to what you paid us in the twelve months before the claim.
Changes to these terms
We will update the date at the top when these terms change, and email account holders when a change is material rather than cosmetic.
Governing law
These terms are governed by the laws of [jurisdiction to be confirmed by the studio's counsel], and the courts of that jurisdiction have exclusive jurisdiction over any dispute. This is the one clause in this document that cannot be reasoned out from how the product works — it depends on where the business is established, and it must be filled in before these terms are relied upon.
